Proposals and payment
- Services are described in a written proposal or statement of work, valid for 30 days unless stated otherwise.
- Monthly retainers are billed in advance and renew each month until cancelled with 30 days' written notice.
- Project work typically requires 50% to begin, with the balance due on delivery or per an agreed milestone schedule.
- Advertising spend paid to third-party platforms is separate from our fees and is your responsibility, billed on your own accounts unless agreed otherwise.
- Invoices are due within 15 days. Overdue balances may incur a reasonable late fee as allowed by law, and we may pause work on unpaid accounts.
Scope and changes
We'll deliver the work described in your proposal. Requests outside that scope ("change requests") are quoted separately and may affect the timeline. Reasonable rounds of revisions are included as stated in the proposal; additional rounds may be billed.
Client responsibilities
- You agree to provide timely information, feedback, approvals and any account access needed to do the work. Delays on your side may shift the schedule.
- You confirm you own or have the right to use all materials you provide (text, images, logos, data, trademarks) and that they do not infringe others' rights.
- You are responsible for the accuracy and legal compliance of claims, offers and content you ask us to publish, and for any industry-specific rules that apply to your business.
- You are responsible for approvals before campaigns go live; once approved and published, content is deployed at your direction.
Ownership and licenses
Once your account is paid in full, you own the final deliverables we create specifically for you, such as approved creative, copy and brand assets. We retain ownership of our pre-existing tools, templates, processes and know-how, and may use general skills and learnings on other projects. Third-party and stock assets remain under their own licenses, and fonts, software and media must be licensed as required.
Unless you ask us not to, we may display non-confidential work in our portfolio and case studies and reference you as a client.
Advertising platforms and third parties
Campaigns run on third-party platforms (such as Google, Meta, TikTok and others) are subject to those platforms' own terms, policies and approval processes, which we do not control. We are not responsible for platform decisions such as ad disapprovals, account suspensions, pricing changes or outages.
No guarantee of results
Marketing results depend on many factors beyond our control, including your market, offer, budget and platform behavior. We do not guarantee specific results such as rankings, impressions, leads, sales or return on ad spend. Any figures we share are estimates or past examples, not promises.
Confidentiality
Each party agrees to keep the other's non-public business information confidential and to use it only to perform or receive the services.
Disclaimers and limitation of liability
Except as expressly stated, services and deliverables are provided "as is." To the fullest extent permitted by law, Zento's total liability for any claim related to our services is limited to the fees you paid to us for the services giving rise to the claim in the 3 months before the claim (this does not include advertising spend paid to third parties). We are not liable for indirect, incidental or consequential damages, including lost profits or lost data.
Termination
Either party may end an engagement with written notice as described in the proposal (typically 30 days for retainers). On termination, you pay for work performed and non-cancellable costs incurred up to that point, and we hand over deliverables for paid work and remove our access to your accounts.
Website use
Content on this website, including text, graphics and the Zento name and logo, belongs to Zento LLC and may not be copied or reused without permission. You agree not to misuse the website or interfere with its operation.
Governing law
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts serving Boyd County, Kentucky.
Changes
We may update these Terms from time to time. The version posted on this page with its effective date applies to engagements entered after that date.
